- Payment terms, applicable fees, and payment deadlines will be agreed upon before the start of a project.
- Advertising budgets paid to Google, Meta, or other advertising platforms may be separate from Flash Leads’ service fees unless expressly stated otherwise.
- Any applicable taxes will be communicated or charged in accordance with applicable law.
- Work may be paused if an agreed payment is overdue, subject to the terms agreed with the client.
4. Advertising Results and Guarantees
Flash Leads will make reasonable efforts to manage and optimize advertising campaigns based on the agreed objectives.
However, we do not guarantee specific results, including:
- A fixed number of leads or sales
- Guaranteed revenue or return on advertising spend
- A particular number of clicks, impressions, or conversions
- Specific search rankings or advertising positions
- Approval or uninterrupted operation of advertising accounts
Advertising results depend on various factors, including competition, budget, product or service quality, website performance, market conditions, and platform algorithms.
5. Client Responsibilities
Clients agree to:
- Provide accurate business information and advertising materials.
- Ensure they have the necessary rights to use supplied images, videos, logos, and other content.
- Provide access to advertising accounts and business assets only through appropriate and authorized methods.
- Ensure that their products, services, claims, and offers comply with applicable laws and advertising platform policies.
- Respond to requests for information or approvals within a reasonable time.
- Pay agreed service fees and advertising costs on time.
Clients remain responsible for the accuracy of their business information and the legality of the products or services they promote.
6. Third-Party Advertising Platforms
Our services may use third-party platforms, including Google Ads, Facebook, and Instagram.
These platforms operate under their own terms, policies, and privacy practices. Flash Leads does not control their decisions regarding account reviews, ad approvals, suspensions, restrictions, policy changes, or service interruptions.
We cannot guarantee that any advertisement or advertising account will be approved or remain active.
Clients are responsible for complying with applicable platform policies, together with any assistance provided by Flash Leads.
7. Intellectual Property
Unless otherwise agreed in writing:
- Flash Leads retains ownership of its pre-existing methods, processes, templates, and proprietary materials.
- Clients retain ownership of materials they provide, subject to any third-party rights.
- Usage and ownership rights for custom advertising creatives, campaign materials, and other deliverables will follow the agreement between Flash Leads and the client.
Neither party may use the other party’s trademarks, logos, or copyrighted materials without appropriate authorization.
8. Cancellations and Refunds
Service cancellation and refund requests will be handled according to the agreed service package, any separate refund policy, and applicable law.
Where a client cancels a project, fees for services already performed and any authorized, non-refundable third-party costs may remain payable, subject to applicable law and the agreed terms.
Advertising spend paid directly to Google, Meta, or another advertising platform is governed by that platform’s policies.
Nothing in these Terms & Conditions excludes any refund or other right that cannot legally be excluded.
9. Confidentiality
Both Flash Leads and its clients should take reasonable steps to protect confidential business information shared during a project.
Confidential information should not be disclosed to unauthorized parties except where disclosure is authorized, necessary to provide the services, or required by law.
10. Limitation of Liability
To the extent permitted by applicable law, Flash Leads will not be responsible for indirect or consequential losses arising from the use of our website or services, including losses caused by third-party platform outages, advertising account restrictions, or changes in advertising policies.
Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.
